Overview
This course covers:
• Nature, importance, legal consequences, language and form of the AoA; 
• Reasons for the abolishment of the MoA and the applicability of the certain clauses of the MoA as articles of the AoA;
• Major changes of Cap. 622 when compared with Cap. 32 leading to the alteration of the AoA of companies limited by shares or guarantee; 
• Necessity and contents of amendments to the AoA after the commencement of Cap. 622; 
• Procedures, governmental approval and effect of amendments to the AoA; and 
• Model AoA under the Companies (Model Articles) Notice (Cap. 622H).
