As Hong Kong welcomes more and more A+H listings, a basic understanding of the similarities and differences of the A and H regulatory and compliance rules is becoming more and more important, for practitioners who have to deal with A+H listed clients as well as for those who wish to be appointed as a director or company secretary of A+H listed issuers. The new A+H Regulatory and Compliance Series aims to achieve this purpose. In each topic, the basic H share listing rules (Hong Kong listing rules), for example, the rules on connected transactions, will be compared with the A share listing rules (Shanghai and Shenzhen listing rules) to show some of the major differences and similarities on the connected transaction rules of the two regulatory regimes. As usual, cases will also be discussed as appropriate. For the time being, the new series will cover only three topics, namely, information disclosure, connected transactions, and annual report preparation.
